RoAD Driver Term & Conditions

1. Definitions and Interpretation

1.1 In this Agreement, unless the context otherwise requires:

• “Advertising Materials” means any sticker, decal, wrap, or promotional material supplied or approved by the Company for display on a Vehicle.
• “Campaign” means any advertising campaign made available through the RoAD App.
• “Driver”, “you”, or “your means the individual registered on the RoAD App to participate as a driver.
• “Vehicle” means the vehicle registered by you on the RoAD App.

1.2 Headings are for convenience only and shall not affect interpretation. Words importing the singular include the plural and vice versa.

2. Contractual Relationship

2.1 The Company operates the RoAD App as a technology platform that facilitates advertising campaigns by enabling Drivers to display Advertising Materials on registered Vehicles.

2.2 You acknowledge that the company does not provide transportation, logistics, delivery, or driving services and does not employ drivers. The company does not control, supervise, or direct vehicle operation or driver behavior.

2.3 Nothing in this Agreement creates an employment relationship, partnership, agency, or joint venture between you and the Company.

3. Driver Eligibility and Obligations

3.1 You represent and warrant that all personal, vehicle, and banking information provided to the Company is accurate, complete, and kept up to date at all times.

3.2 You shall install, display, and maintain Advertising Materials strictly in accordance with instructions provided by the Company through the RoAD App or other designated channels.

3.3 You shall operate the Vehicle in the ordinary course of daily use and shall not take any action intended to artificially increase earnings or interfere with Campaign measurement.

3.4 You shall use the RoAD App and any tracking or verification mechanisms designated by the Company and shall comply with all reasonable verification requests, including the submission of photographs or other data.

4. Advertisement Placement and Compliance

4.1 Advertising Materials shall be installed strictly in accordance with placement instructions provided by the Company.

4.2 Advertising Materials may be installed only on lawful, safe, and suitable external areas of the Vehicle and shall not obstruct visibility, interfere with vehicle operation, compromise safety, or obscure required markings, lights, windows, mirrors, license plates, or regulatory identifiers.

4.3 The Company may, in its sole discretion, require the repositioning, removal, or replacement of Advertising Materials at any time. Compliance with placement instructions is a condition precedent to payment.

6. Condition of Advertising Materials

6.1 You shall ensure that Advertising Materials remain clean, visible, and in good condition at all times.

6.2 You shall not remove, alter, deface, tamper with, or obstruct Advertising Materials without the Company’s approval.

6.3 Any wear, damage, detachment, or deterioration shall be promptly reported through the RoAD App.

7. Payments and Remuneration

7.1 Any remuneration, incentive, or rate applicable to your participation shall be notified separately by the Company through the RoAD App or other designated channels and may be updated from time to time based on market or operational conditions. No entitlement arises unless all applicable Campaign and compliance requirements are met.

7.2 Driver earnings shall be calculated in accordance with the Company’s Campaign measurement methodology, as determined from time to time.

7.3 Payments shall be made monthly following the end of each calendar month, subject to verification of compliance and Campaign participation.

7.4 Payments shall be made solely to the bank account nominated by you.

7.5 You acknowledge that the accuracy of banking details is your sole responsibility.

8. Tracking and Data Use

8.1 You consent to the collection and use of location, distance, and activity data for Campaign verification, performance reporting, payment calculation, compliance monitoring, and improvement of the RoAD App.

8.2 Personal data shall be processed in accordance with applicable data protection laws.

9. Vehicle Responsibility and Risk Allocation

9.1 You remain solely responsible at all times for the ownership, possession, control, condition, maintenance, insurance, licensing, and lawful operation of the Vehicle.

9.2 Participation through the RoAD App does not transfer or create any responsibility or liability for the Company in relation to the Vehicle.

9.3 The Company shall not be responsible or liable for any damage, wear and tear, discoloration, residue, or deterioration to the Vehicle arising from the installation, presence, use, or removal of Advertising Materials affixed under this Agreement.

10. Suspension and Termination

10.1 The Company may suspend or terminate your participation or access to the RoAD App with immediate effect for breach, misrepresentation, or non-compliance.

10.2 Termination shall not affect rights or obligations accrued prior to termination.

11. Disclaimers; Limitation of Liability; Indemnity

11.1 The RoAD App and Campaigns are provided on an “as is” and “as available” basis.

11.2 To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

11.3 You agree to indemnify and hold harmless the Company from claims arising out of your breach, Vehicle operation, or violation of law.

12. Force Majuro

12.1 Neither party shall be liable for failure or delay caused by events beyond reasonable control, provided reasonable mitigation efforts are taken.

13. Waiver

13.1 No failure or delay by the Company to exercise any right shall constitute a waiver.

14. Survival

14.1 Provisions relating to payments, liability allocation, vehicle responsibility, data use, indemnity, governing law, and dispute resolution shall survive termination to the extent necessary.

15. Notices

15.1 Notices may be given through the RoAD App or electronic means designated by the Company.

16. Electronic Acceptance

16.1 Electronic acceptance constitutes valid and binding execution.

17. Entire Agreement and Amendments

17.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, representations, negotiations, or understandings, whether written or oral, relating to its subject matter.

17.2 Continued participation following amendments constitutes acceptance.

18. Severability

18.1 If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19. Governing Law and Jurisdiction

19.1 This Agreement is governed by the laws of Sri Lanka. Sri Lankan courts have exclusive jurisdiction.

20. Acknowledgement

20.1 The Company reserves the right to amend this Agreement from time to time, and continued use of the RoAD App following any such amendment constitutes acceptance of the revised terms.
